Intellectual Property Law (IP, contracts, licenses, copyright, advertising)

License agreements, Copyright. Economic copyright. Personal copyright. Reputation parasitism. Unauthorized comparative advertising. Domain disputes. Contracts for work to create software solutions. SW service contracts. Contracts with marketing agencies. Contracts with performing artists. Contract for the production of short videos. Start-up and intellectual property rights to the target asset. Scale-up and intellectual property rights to the target asset.

An overview of significant terms related to legal protection in the field of intellectual property law (IP), contracts, licenses, advertising, authorship, and infringement of rights arising from them. As lawyers specializing in M&A consulting, we have in transactions and investments in start-ups and scale-ups identified a clear must of every given transaction – the answer to the question, whose intellectual property rights are to the target asset (project, technology, software, app, but also the design of a building's façade, architectural work, and others), which is the reason for acquisition or investment for the buyer or investor.

Comprehensive agenda intellectual property law, which we cover at SKYLEX, includes a wide range of areas, and we have defined them into five main categories that we help you protect:

How can we help you?

In consulting on intellectual property law, in the section  IP, contracts, licenses, copyright, advertising  we assist our clients in defining what constitutes intellectual property and who owns it (company, individual). We set contracts with subcontractors and creators of works for clients, help define the scope of licenses, and secure the related creation of license agreements.

As part of legal due diligence, we help identify the scope of IP rights that a potential buyer will acquire when purchasing a company and identify risks whether the company the buyer is interested in acquiring owns the IP rights to the target product/asset. We similarly handle this agenda for investors – whether the target company holds IP rights to the "reason" for which the investor invests in the company, since many acquisitions and transactions are conducted with the intention not necessarily to acquire the company  but the technology, manufacturing know-how, software, application, i.e. the elements of intellectual property that the company owns and that generate cash flow.

Since we live in an age of rapid growth and influence of social media and the content that appears on them, we advise our clients on creating modern contracts such as contracts with influencers, contracts with marketing agencies, contractual documentation for SEO optimization and social media management, as well as contracts for the creation and production of short videos for social media, including non-disclosure agreements, non-compete agreements, and non-solicitation agreements, which are very important for business today and closely related to IP law.

Entrepreneurs often think that the money in the company is “their money” and that they can simply transfer it from the company account to their private account. Just like that – without more. Especially when the executive and shareholder are the same person. Big mistake, as they would say.
