In advising on intellectual property law, in the area of  IP, contracts, licences, copyright, advertising  we help our clients define what constitutes intellectual property and who owns it (the company or an individual). As part of legal audits, we help identify the scope of IP rights that a potential buyer will acquire when purchasing a company and identify the risks of whether the company the buyer intends to acquire owns the IP rights to the target product / asset. For investors, we address the same issue – whether the target company has IP rights to the “reason” for which the investor is investing in the company, since a large number of acquisitions and transactions are carried out with the intention of acquiring not necessarily the company  but the technology, manufacturing know-how, software, application, i.e. the elements of intellectual property that the company owns and that generate cash flow.
