We provide clients with advice from the stage of initial negotiations (including the preparation of  confidentiality agreements, NDA, Term Sheet, Letter of Intent, Memorandum of Understanding), conduct legal due diligence (Vendor’s due diligence, due diligence), advise on the legal structuring and implementation of the transaction structure (whether the transaction will involve  a merger, amalgamation, demerger of a company or another form of transformation of a business company, involve the transfer of business interests, transfer of shares, transfer of a business or part thereof, or a combination of other forms), preparation of transactional legal documentation (SPA, Investment Agreement, technical transaction documentation, JV Agreement, bond issuance documentation, Convertible Loans) through to representing the client in negotiations and advising throughout the entire course of the transaction (on the seller’s side in a sell-side transaction, on the buyer’s side in a buy-side transaction, or in an investor’s entry or representing founders, as well as in a management buy-out), including advising the client during  signing, closing  and fulfilling the client’s  post-transaction obligations  .

In M&A advisory (mergers and acquisitions), we focus primarily on:
